我国国有独资商业银行的契约关系与治理结构研究 摘 要 国外最新的债务契约治理结构研究对于我国国有独资银行未来 改革能提供很多有益的帮助。但这种理论应用于中国这种转轨经济 国家，必然涉及很多制度方面的障碍。本文采用契约理论考察我国 债务契约治理结构，考察这方面的制度原因。 本文首先回顾了现代契约理论的发展，对完全契约和不完全契 约下的各种理论进行了回顾和简单评论，继而运用现代契约理论分 析了我国独资商业银行的契约关系，主要侧重于政府作为出资人与 国有商业银行的委托契约关系和国有商业银行有信贷活动过程中形 成的与企业的债务契约关系。然后在这种契约关系分析的基础上， 考虑了我国传统国有商业银行契约对经济发展所带来的正面效应和 负面效应，并指出了这些正面效应是在特定的体制环境下产生的， 而负面效应随着制度的变迁越来越彰显，因而客观上要求我们进一 步推动制度变迁，并通过这种变迁采取一系列的措施，来使今后的 国有商业银行契约治理结构更加完善，从而推动国民经济健康持续 的发展。 关键词：商业银行 契约关系 治理结构 交易成本 道德风险 2 我国国有独资商业银行的契约关系与治理结构研究 Abstract The latest foreign research on the mechanism of governance of debt contract seemed help for the reform of our state-owned bank. But because China is on the way of institutional change, there will be much institutional obstacle that will delay the use of those latest theories. The thesis especially analyzed the institutional causes by contract theory. Contract theory has yield much on the complete contract and incomplete contract research. By those theories, the author found that, in the mechanism governance of the early debt contract of state-owned bank, the state-owned bank was unwilling to perfect the mechanism of governance and the firms were show intensive mortal risks because the item in the debt contract was restricted by the law and government. These problems rooted on that special history situation and make great economy lose. But the debt contract follows the rule of institutional change, so that the institutional arrangement was changed gradually to make the mechanism of governance more effective.
