摘 要 企业财务治理是当前财务理论界研究的一个热点问题。财务治理权作为财务治 理的核心，对其配置问题的研究具有重要的理论价值与现实意义。财务治理权主要 是指财务的决策权、执行权、监督权和收益权，其配置的目的是要在各相关利益主 体间形成责、权、利均衡的有效制衡机制。财务治理权配置的失衡或不当都将影响 企业资源的有效配置和利用，增加企业的交易成本，导致企业财务运作的低效率。 本文从产权理论、契约理论、委托代理理论以及利益相关者理论等现代企业理 论出发，指出了企业财务治理权配置的内涵与功能，分类阐述并评析了当前理论界 有关企业财务治理权配置问题的研究现状。并以上市公司为例，对比发达国家企业 财务治理权配置的结构与特征，分析了我国企业财务治理权配置模式的特征与不足 以及实践中存在的问题。 针对存在的问题，本文提出了以企业的产权安排为基础，以利益相关者价值最 大化为导向，以企业财务信息对称为前提，以实现不同配置对象间权利的互动性为 手段的企业财务治理权配置改革的基本思路；在该思路的基础上，构建了分层交互 式和适时交互式两种新的现代企业财务治理权配置模式，并对新配置模式的运行机 理进行了详细地阐述；同时指出，要使该配置模式有效运行，在企业内部应规范股 东会的召集与表决制度、改革董事会的产生办法与构成结构、理顺董事层与经营管 理层的关系、优化监事会的构成结构，就企业外部而言应规范机构投资者的行为、 提高企业外部市场机制的效率、完善资本市场的评价功能。 关键词：财务治理权，配置，模式，结构，途径 I ABSTRACT The Financial Governance of enterprises is a hot issue of the present financial theoretic research. The research on the allocation of financial control right which is the core of the financial governance problems, has the important theoretic value and practical meaning. The financial control rights mainly means the financial decision-making power, implementation power, supervision power and profit-earning power, and its allocation mainly aims at forming an effective responsibility-power-profit balancing system among related interest groups. An imbalanced or improper financial control rights allocation would affect the effective allocation and use of resources of an enterprise, and increases its dealing cost, and then results in a low financial operational efficiency. From the related theories such as the property-rights theory of modern enterprises, the contract theory, the principal-agent theory and the stakeholder theory, the meaning and functions of the financial control rights are put forward.
