中文摘要 我国的公司治理，从开始研究以来，主要关注的是国有大企业的治理问题，而中小企业（一般被视为“古典企业”）受规模的限制，公司治理往往出现一种比较简化的形式，所有者与经营者并不能严格的区分，因此公司治理问题在很大程度上被理论界和产业界所忽视。中小企业治理结构的不完善，已严重制约了中小企业的长期发展。中小企业的公司治理问题对整个经济的健康发展至关重要，因此有必要研究中小企业的公司治理问题。 本研究梳理了与中小企业公司治理相关的文献、理论基础，包括企业成长理论、产权理论、委托代理理论、人力资本理论和利益相关者理论。在理论基础上，本研究从探讨中小企业的治理现状和特点出发，对李亚提出的民营企业公司治理三要素模型进行重新解释，使该模型适用于中小企业的公司治理研究。该模型指出，影响中小企业公司治理的要素有：资本、产权和人才。这三要素不是彼此孤立的，而是相互联系的。中小企业的各种治理问题都能在模型中找到相应的位置，同时该模型也提供了解决中小企业治理问题的一种工具和思路。在三要素模型的基础上，剖析影响中小企业公司治理的要素，从产权、资本和人才三个角度研究中小企业的公司治理。具体分析了中小企业在产权、资本和人才这三方面存在的问题，并提出了对策。最后在研究基础上探讨了适宜中小企业公司治理的机制，包括决策机制、激励机制和约束机制。 关键词：中小企业 公司治理 产权 资本 人才  Abstract Most researches of corporate governance focus on the Listed Companies and big companies. But in the small and medium enterprises (SMEs), the owners also manage the companies, the corporate governance has a simple form. There is few research of the SMEs’ corporate governance. The corporate governance is very important for SEMS. So it is necessary to study the corporate governance of SMES. This paper reviews the theories relating to the corporate governance of SMES, including Five Stages of Small Business Growth Theory, Property Theory, Principal-agent Theory, Human Capital Theory and Stakeholder Theory. Based on these theories, this paper demonstrates the most important factors for the corporate governance of the SMEs, which are property rights, capital and talent. Firstly, this paper discusses the actuality and characters of the SMEs; Then this paper re-explain the three factors model to apply to the SMEs. According to our study, we apply the three factors model to analyze the corporate governance of the small and medium enterprises. From three factors that are property rights, capital and talent, this paper demonstrates the problems of the SMEs and the methods to solve these problems.
