摘要摘要股权结构对经营风险影响的实证研究——基于现金流波动视角股权结构对经营风险影响的实证研究——基于现金流波动视角摘 要长期以来，无论是理论界还是实际工作部门，主要以公司业绩的高低来评价公司 股权结构，对影响公司稳定发展的风险指标没有给予足够重视。导致这种现象的原因 主要是公司所有权和经营权分离背景下，公司业绩成为反映管理层受托责任履行程度 的主要指标。公司要可持续发展，不能仅关注公司业绩这一短期目标，经营风险指标 同样重要，而现金流不仅是反应公司获利能力、偿债能力、支付能力的主要指标，还 可以通过分析现金流的异常波动情况反应公司经营风险，起到警示作用。而我国资本 市场中大量自由现金流量与低效率的公司治理的组合普遍存在，延误时机，不重视现 金流的监管只会导致风险的不断积聚。本文提出“股权结构—经营风险—公司治理”思路框架，以公司的股权集中度、 是否存在股权制衡及股权制衡度和第一大股东的股权性质四个变量作为股权结构的 研究角度，选取经营活动现金流量波动视角反映经营风险，分析股权结构在降低经营 风险方面的作用。文章一开头通过梳理以往学者研究公司股权结构公司治理效应的相 关文献，提出国内外学者在此领域的研究集中点；然后在相关理论基础上分析了上市 公司现金流对公司经营风险的影响，并提出研究公司股权结构应重视其对公司经营风 险的影响；然后从此角度作为研究突破点，依据本文选取的衡量股权结构要素的四个 指标构建了三个回归模型，并以现金流量的波动作为因变量，利用 Excel 2010 及 SPSS 软件，结合相关性分析、OLS 回归分析，利用样本公司 2010-2012 年期间的数据进行 了检验，并利用 2011-2013 年间的数据进行稳健性检验；本文的研究结论是通过实证 检验的数据结果得出：上市公司股权集中度与公司经营活动现金流量波动成显著正相 关关系；上市公司股权分布结构是制衡结构时，公司经营活动现金流量波动显著降低， 且股权制衡度越高，经营活动现金流量波动越低；上市公司股权分布结构是制衡结构， 且国有性质的股东持有最多数量股份时，制衡度对经营活动现金流量波动的降低作用 更加显著；文章的最后部分是研究的总结，并提出了针对性的建议。本文的创新点在于研究视角的创新，提出评价股权结构的优劣同样要考虑其对经 营风险的影响，并创新性的将现金流的波动引入股权结构治理效应研究中，期望本文 研究成果能够促进我国上市公司对股权结构的全新评价，重视现金流的异常信息，促I PAGE PAGE II进公司可持续稳定发展并有助于建立科学合理的公司治理机制。关键词：股权结构 经营风险 公司治理效应 现金流量波动ABSTRACTFor a long time, both the theory circle and practical work department concerned about the level of performance of the company when they evaluate the merits of the shareholding structure of governance effects, ignored risk indicators, such as operating stability of the listed company.
