Based on the analysis to the advantages and disadvantages of both types of entities， it is pointed out that an effective cooperation between technology-orientated enterprise and RD entity should focus on the technology research at the initial stage of a project. Diversified cooperation modes， cooperative partners， applicable conditions and content of the cooperative projects are analyzed as well.
