河南理工大学2013届本科生毕业论文（设计） 河南理工大学2013届本科生毕业论文（设计） 我国上市公司财务报表重述问题探析 摘 要 改革开放以来，我国对外开放的程度不断加大，伴随市场经济的发展，上市公司财务报告中的重大会计差错更正事项屡屡出现，财务报表重述现象的高频率发生引起了社会的广泛关注。财务报表重述说明上市公司已经发布的财务报表中存在信息遗漏或者出现差错，对该报表的使用者起到了一定的误导作用，加大了投资者的市场投资风险。因此，对我国上市公司财务报表重述问题的探析具有重要意义。本文主要分为五个部分，其大概内容如下： 第一部分，前言。主要介绍财务重述问题的研究意义。 第二部分，财务报表重述的理论分析。本节首先界定了财务重述的内涵；其次概括了财务重述的三大特点；最后，介绍了财务重述报告的类型。 第三部分，我国上市公司财务报表重述现状分析。本节将首先介绍财务重述制度的变革过程，然后根据相关数据统计分析我国上市公司财务重述的现状。 第四部分，上市公司财务重述的经济后果与原因分析。很多事实证明，财务重述可能会导致严重的后果，轻则损害公司形象、降低投资者信心，重则招致证监会调查，甚至使得公司破产。 第五部分，改善我国财务重述问题的若干建议。本节将通过对其原因的分析，从公司治理和法律制度等方面提出若干建议。 最后得出结论。我国上市公司财务重述问题还有待进一步探索，财务重述所带来的利益是其不断发生的根本原因，解决这一问题不仅要从根本上寻找有利武器，加强公司内部治理，还要进一步完善我国在这方面的法律环境。 关键词：财务报表重述 上市公司 会计信息披露 公司治理 ABSTRACT Since Chinas reform and opening up, Chinas opening to the outside world degree increasing, along with the development of market economy, major in financial report of listed companies accounting errors correction matters repeatedly appears, the phenomenon of financial statement restatements high frequency has been brought into public attention. Recap to the financial statements of listed companies has already released information omissions or errors exist in the financial statements, users of the statements play a misleading role, increase the market investors investment risk. Therefore, listed companies in China the analysis of financial statement restatements problem is of great significance. The second part, theoretical analysis of financial statement restatements.
