公益信托监察人的法律问题研究-法学专业论文.docx

I I 摘 要 我国公益信托虽起步不久，其简单的治理结构，专业的保值增值管理方式， 以及国外成熟的运作模式，都使其具有光明的未来。为了避免这个“新生儿”遭 受夭折，必须完善对其的监察机制，最重要的就是依靠公益信托监察人的制度优 势，以此促进公益信托事业的健康发展。 本文在对公益信托监察人制度进行概述之后，提出了我国现有法律制度在公 益信托监察人的任命、权利、义务和责任四个方面的规定均有不足，同时法律体 系的严重断层导致《信托法》的规定难以落地。在进一步分析问题时，本文采用 了案例分析的方法，通过对西安信托的 5?12 抗震救灾信托计划和百瑞信托的郑 州慈善公益信托计划的运行方式及其存在的问题的研究，揭示出实践中我国公益 信托监察人制度存在的问题。为了解决我国公益信托监察人存在的诸多问题，本 文采用比较法研究的方法分析归纳了日本、英国、美国、我国台湾地区相关的法 律制度，对我国立法提供参考。最后，本文针对我国现有问题，并借鉴国外的先 进经验，对完善公益信托监察人的权利、任命、义务和责任四个方面的规定以及 健全我国法律体系均提出了具体可行的建议。 关键词：公益信托，公益信托监察人，公益信托监察制度 II II Abstract Although the charitable trust started before long in China, the bright future of it is guaranteed by its simple governance structure, professional value-added assets management, and mature operation patterns using for reference in foreign countries. In case of the mortality of the young system, we should enhance its supervision, especially taking the advantages of charitable trust supervisor to accelerate the healthy development of philanthropy. After illustrating the background of charitable trust supervisor, the paper puts forward the defects of Chinese regulations relevant to charitable trust supervisor in its appointment, rights, obligations and responsibilities, while the effectiveness of law is also influenced by the poor regulation system. Then paper further researches on 2 cases, the May 12 Earthquake Rescue Trust Project started by Xi’an Trust Inc. and Zhengzhou Charitable Trust Project launched by Bridge Trust Co., Ltd, to reveal the short of charitable trust supervisor in practice. For solving the issues lying in the charitable trust supervisor, the paper summarizes and compares the relevant regulations in Japan, England, America and China Taiwan for reference. Last but not the least, for settling the present issues and taking examples of foreign regulations, the paper proposes specific advice in enhancing the regulations in rights, appointment, obligations and responsibilities of charitable trust supervisor and improving the relevant legal syst
