摘要 摘要 I I 摘 要 近年来，江苏省上市公司发展迅速，形成了具有一定市场竞争优势和产业集 中度的“江苏板块”。随着上市公司数量的不断增多，其规模和深度也有了长足 的发展。本文选择以江苏省上市公司作为研究对象，进行区域性研究，通过对江 苏省上市公司高管薪酬和公司绩效关系的研究，考察公司绩效与公司高管薪酬之 间敏感性和影响高管薪酬的主要因素，检验公司激励机制的有效性，力求为上市 公司高管薪酬制度的设计提供理论依据及政策建议的基础。 论文具体分为四章。第一章，包括本研究的背景意义、国内外研究综述、研 究方法、创新之处及研究思路、研究框架等内容；第二章分别从现代激励理论、 委托代理与激励约束、高管薪酬主要影响因素三个方面对薪酬激励的相关理论进 行分析，为实证分析奠定理论基础；第三章，通过描述统计分析和构建模型对江 苏省上市公司高管薪酬与绩效的关系以及影响薪酬的主要因素进行实证分析，以 验证所提出的理论假设；第四章是本研究的主要结论和政策建议。本文的实证结 果表明，江苏省上市公司高管薪酬对公司绩效具有显著的激励效应，公司绩效对 高管薪酬具有显著影响，公司所属行业对高管薪酬的影响各不相同，公司规模、 公司所属区域及公司股权性质对高管薪酬无显著影响。 关键词：高管薪酬，公司绩效，激励机制 Abstract Abstract II II Abstract In recent years, the rapid development of listed companies in Jiangsu Province form a certain competitive edge in the market and industrial concentration of Jiangsu plate. With the number of listed companies growing in scale and depth has also grown by leaps and bounds. In order to carry out a regional study of Jiangsu Province, this paper selects a listed company in Jiangsu province for the study, a listed company executives pay and corporate performance relationship was studied with the company business performance sensitivity between executive pay and the impact of executive pay equal pay for work of the main factors, testing the effectiveness of the company incentives to executives of listed companies for the design of pay systems and provide a theoretical basis and the basis of policy recommendations. This thesis is divided into four chapters.
