重塞盔堂堡主兰鱼笙壅 重塞盔堂堡主兰鱼笙壅 ．———————————i!—里 摘 要 ／经过二十多年的发展与完善，金融互换交易已成为国际金融市场中最大的 融资工具之一，对国际金融市场以及经济开放国家产生着日益重要的影响，同 时伴随着{坛国融入世界经济一体化的进程，我国金融互换交易的开放与运用将 势在必行。÷ 本文研究了国外互换交易及其动因、功能、效应和相关法律，通过借鉴 国际上有关互换交易的立法与监管研究，研究我国互换交易开放、运用和立法 监管的问题。。 本文对国内外互换交易的发展历史进行了回顾，在对国内外互换交易理 论和分折工具进行阐述的基础之上，主要运用了资产组合选择理论、MM理 论、套利定价理论和YAR(J-．Ⅺ,险价值)理论，同时通过借鉴资产证券化理论，结 合我国国有商业银行拥有大量不良贷款的现实，研究上述理论体系在风险管理 以及处置我国国有银行不良资产方面的运用。 f主要结论表明：金融互换交易在我国的开放与运用，有利于降低企业融 (投)资的成本，满足市场投资者规避风险的需要，更为重要的是，通过以银 行贷款为基础资产的互换在我国的运用，达到国有商业银行资本充足率8％的 资本金要求，改善了金融机构及国有企业的资本结构，化解了金融风险。值得 指出的是，目前我国有关互换交易的法律环境与国外相比存在较大的差距，而 且现有的一些基本法律制度，如合同、外汇、担保、破产、证券等方面的法律 也有一些与此类交易不相适应的地方。本文针对上述问题提出了建议。A 关键词：互气 利率风险j风险管理J不良资产 t／ t ／ f 重壅查堂堡主堂垡丝苎 垒!!!型 ‘ Abstract After over twenty years development and consummation，financial swaps trade has become one of the biggest funding facilities of the international financial market， causing increasing important influence on the intemational financial market and countries with open economy．Meanwhile，with our country merging into the global economy,opening and application of the financial swaps trade of our country is but amust． This paper studies foreign ftnancial swaps trade，and its initiative，function， effect and concerning laws，and through learning from international legislation and supervision to study the opening，application and legislation supervision of the financial swaps trade ofour country． This paper reviews the development history of domestic and foreign financial swaps trade．Based on the elaboration on the theory and analysis tools of domestic and foreign financial swaps trade．it mainly uses portfolio selection theory,MM theory,Arbitrage pricing theory and Value at risk theory,and by learning from Assets Securitization and taking into consideration of the fact that our state owned commercial banks have a large amount of defective loans to study the application of aforesaid theories in
