摘要论文题目：论我国公司董事会制度之完善 摘要 论文题目：论我国公司董事会制度之完善 专 业：法律硕士 硕士生：方晓敏 指导教师：刘国臻副教授 摘要 董事会制度是公司治理结构理论和现代企业制度中重要组成部分，这一法律 制度被现代大陆、英荚法系许多国家普遍采用。我国公司法引进包括董事会制度 在内的整套公司治理结构理论，有力地促进了我国国有企业改革和现代企业制度 的建立。然而，随着我国企业改革和经济体制改革的不断深入，学术界对公司法 的修改完善从未停止过争论，同时董事会制度在实践中也出现种种问题，严重妨 碍了公司的诈常运行，亟待通过深化改革和制度完善来加以解决。本文认为，我 国公司立法必须提高董事会在法人治理结构中的地位，完善董事会组织制度设 计，健全对董事资格、成员结构、职权范围以及激励约束机制的立法规定，从而 实现对董事会制度的完善。 关键词：现代公司董事会制度完善 ABSTRA(TTitle：On ABSTRA(T Title：On the Improvement of Chinese Corporation Board of Directors System Major：Jnris Master Name：Fang xiaomin Supervisor：Liu guozhen ABSTRACT The board of directors system is very important component of corporate governance theory and modern enterprise system，this legal system is widely adopted by lots of countries nowadays either with civil law system or with common law system。The introduction of the whole theory of corporate governance，including the board of dkectors system，into Company Law successfully promoted the reform of state-owned enterprises and the buildup of modem enterprise system．However,as the Chinese enterprise reform and economic system reform going deeper，the debate over modification and improvement of the Company Law stopped within the academia，meanwhile the board of directors system encountered various problems in practice，which is holdback against the normal running of all kinds of companies and need to be resolved by deepening reform and improving systems．The writer took the view that，our legislation over the Company Law shall enhance the position of board of directors within the corporate governance；improve the planning of organization system of board of directors；strengthen the legislation over the qualification of directors，structure of members，scope of powers and limit of powers； therefore to realize the improvement of the board of directors system． Key Words：Modern Corporate Board of Directors System Improvement Ⅱ 引言引 引言 引 言 继2004年12月1同创维数码董事会主席黄宏生因涉嫌盗取公司资金被香港 廉政公署起诉后，伊利集团董事长郑俊怀等5名公司高层管理人员，又因涉嫌挪 用公款谋取私利，于2004年12月17同被公安机关刑事拘留。著名公司高层
