毕业论文 题 目：上市公司股权激励的实施现状 及其问题研究 姓 名： 学 号： 院 系： 经济管理学院 专 业： 商务管理（自考本科） 年 级： 指导教师： 摘要 随着公司股权的日益分散和管理技术的日益复杂化，世界各大公司为改善公司治理结构，降低代理成本，提高管理效率，增强公司凝聚力和市场竞争力，更好更合理的激励公司管理人员，创新激励方式，各公司纷纷推行了包括股票期权等形式的股权激励机制。 股权激励把该机管理人员和关键岗位人员的收入、利益与公司业绩表现相结合，吸引、保留、激励高级管理人员和关键岗位人员，为公司长期稳健发展提供人力资源保障。股权激励包括股票期权、业绩股票、股票增值权、员工持股等模式，以及现股激励、期股激励和期权激励等方式。股权激励引入我国的时间并不长，目前正处于起步发展阶段，在我国企业中的发展道路并不顺利，普遍存在激励不足的现象，导致公司代理成倍增加，员工积极性不高。为更好地发挥股权激励制度的作用，必须要完善经理人市场、保证有效的证券市场和制定恰当的监管措施。 关键词：股权激励；激励机制；现状；问题；措施 Abstract Complicate day by day along with the company stockholders rights daily disperser and the management technology, world each big company governs the structure for the improvement company, reduces the proxy cost, enhances the management efficiency, the enhancement company cohesive force and the market competitive power, the better more reasonable drive firm managerial staff, the innovation drives the way, various companies have carried out in abundance including form and so on stock option stockholders rights drive mechanisms.
