我国汽车行业纵向垄断协议法律规制研究 摘 要 现阶段，随着市场经济的不断完善，对外开放程度不断深化，我国汽车业不断发展 壮大，在国民经济中的地位和作用持续增强。与此同时，汽车行业垄断现象也逐渐突 出，涉及汽车行业垄断的法律案例也逐渐增多，长安福特纵向垄断案、奔驰等跨国汽车 厂商对零售商转售价格维持案都引起了广泛的社会关注，并造成了严重且恶劣的影响。 汽车市场寡头垄断的结构，导致汽车市场竞争不充分、不完全。这是造成汽车业垄 断行为多发的重要因素。我国汽车行业纵向垄断协议存在着实施主体多元化、内容多样 性、实施手段隐蔽性等特征，使汽车行业反垄断规制面临诸多挑战。近年来，针对汽车 行业的反垄断行为，我国执法机构多次对相关企业进行查处，并处以高额的罚款，这对 违法企业具有一定威慑力，取得了一定成效。但我国汽车业反垄断在立法、监管以及司 法救济方面仍存在不足。 完善对我国汽车行业纵向垄断协议法律规制，涉及以下三个方面：第一，完善相关 法律文件。细化相关法律条文，加快出台根据汽车行业的特殊性制定的汽车行业专属反 垄断指南；第二，加强汽车行业相关监管建设。执法部门应建立统一的处罚标准，同时 保障执法的公开与透明。汽车行业协会应与执法机关相互配合，发挥其辅助作用；第 三，健全司法救济机制。完善举证责任，赋予公共执法认定证据效力以及法官对原告的 损害额度实行探知权，改善实践中原告举证难的问题。民事赔偿机制的设置，不仅有遏 制垄断企业行为的作用，也是补偿消费者经济损失的重要手段之一。应引入民事惩罚性 赔偿制度，以明确责任方应承担的经济赔偿责任。 关键词 反垄断；纵向垄断协议；汽车行业 - -I 我国汽车行业纵向垄断协议法律规制研究 Abstract At this stage,with the continuousimprovement ofthemarket economy andthe deepening of the degree of opening up, Chinas auto industry continues to grow and develop, and its position androle in thenational economy continuetoincrease.At the sametime,themonopoly phenomenon in the automobile industry has gradually become more prominent, and the legal cases involving the monopoly in the automobile industry have gradually increased.
