PAGE PAGE 51 《商法学》课程教学大纲 一、课程基本信息 课程代码：191013 课程名称：商法学 英文名称：commercial law 课程类别：专业课 学 时：48学时 学　　分：3 适用对象:创业教育学院本科生 考核方式：考试 先修课程：民法学 二、课程简介 1．中文简介 商法学课程共分为七编。第一编商法总论，主要内容包括商法概述、商事主体与商事行为、商事登记、营业。第二编个人独资企业与合伙企业法，主要内容包括个人独资企业法、合伙企业法。第三编公司法，主要内容包括公司与公司法概述、公司的类型、公司的设立、公司的能力、公司资本制度、股东与股权、公司组织机构、公司债、公司财务会计制度、公司的合并、分立与组织变更、公司的终止、重整与清算。第四编证券法，主要内容包括证券与证券法、证券发行与承销、证券上市与交易、信息披露、上市公司收购制度、证券市场主体、证券监管制度、证券违法行为与法律责任。第五编票据法，主要内容包括票据法总论、汇票制度、本票、支票。第六编保险法，主要内容包括保险制度概述、保险法概述、保险合同、保险业法。第七编破产法，主要内容破产法概述、破产程序的开始、债务人财产的管理、破产案件中的债权人、重整、和解、破产清算、破产法律责任。 2．Introduction The business law are divided into seven?parts. The first?part is its pandect, containing the introduction, the commercial subject, act?and registration,?business.?After that is individual business?establishment?and partnership enterprise law, whose content is individual business?establishment?law and that of partnership enterprise.?Corporation?law, the third part, mainly covers the summary of the law, category,?establishment, capacity, capital system?of enterprise, shareholders and equity, organizations of enterprise, debt, financial and accounting system, corporate merger, division, conversion of association?and its termination, reorganization?and liquidation.?The fourth part is securities?law. It mainly?consists?of?securities?and the law, issuing?and underwriting, floating and trading, information disclosure, acquisition?system of listed company, market subject, supervision system, illegal activity?and legal responsibility.?The fifth, negotiable instruments law, its?main componants are pandect, the draft system, promissory note?and cheque.?The sixth is insurance law, including summary of the law and its system, contracts, insurance industry law.?The last part is bankruptcy law, among which its summary, the?beginning?of?the?procedure, the management of the?debtors?property, creditors in bankruptcy cases, reorganization, reconciliation, bankruptcy liquidation?and legal liability?are involved. 三、课程性质与教学目的 1．课程性质 专业必修课
