In consideration of this and the following mutual promises and covenants, and for other good and valuable consideration, the parties agree as follows:1. Client wishes Company to perform and Company agrees to perform the Translation Services described in Exhibit A. All work performed by the Company shall be in accordance with industry standards.2. Client shall pay Company for the Translation Services provided to Client in accordance with the pricing and the terms set forth in Exhibit A. In addition to these fees, Client shall reimburse Company for necessary out-of-pocket expenses incurred by Company that are not a normal part of routine translation procedures, such as overnight delivery requested by Client, long distance telephone and facsimile expenses to clarify document ambiguity, non-text document formatting, indexing of documents, bates and/or control numbering, large–scale photocopying, etc.3. The parties acknowledge that due to inherent differences in language, words, terms and phrases specific to a culture, region, and/or country, it is not always possible to translate exactly from one language to another. Accordingly, while Company will make every effort to ensure an accurate translation, it makes no warranties, express or implied, with respect to the Translation Services.4. In no event shall Company be liable to Client for any indirect, special or consequential damages or lost profits arising out of or related to this Translation Services Agreement or performance or breach hereof, even if Company has been advised of the possibility thereof.
