目的 General principle 根据国家相关法规制度和公司章程相关规定，为了加强对集团股份有限公司（以下简称“集团”）下属海外公司及机构的管理，规范海外公司工作，促进海外公司经营业务的发展，提高海外公司经济效益，保证集团海外资产的保值增值，特制定本制度。 These regulations are hereby made in accordance with stipulation in relevant national laws and regulations and the articles of association in order to strengthen the overall management of overseas companies(OCs) and overseas institutions (OIs) of Linuo Group Co., Ltd. (hereinafter referred to as Linuo Group or Group), standardize their work, promote the development of overseas business, improve the economic efficiency of OCs and ensure the preservation and increment of overseas assets of Linuo Group. 适用范围 Application scope 集团直属管理的所有海外公司、海外办事处、海外常设机构和临时机构，二级集团直属管理的海外单位参照此办法执行。 This regulation is applicable to all OCs, offices, permanent and temporary institutions which are directly under the management of Linuo Group, overseas units directly under the management of Linuo subsidiary groups may refer to these regulations. 归口管理 Centralized management 3.1 集团海外事业本部为海外公司及机构的业务归口管理部门。 International Department (ID) of Linuo Group is responsible for the centralized business management of OCs and OIs. 3.2 集团海外财务为海外公司及机构的财务归口管理，负责对海外公司财务的监督管理。本制度中的海外财务为集团委任的负责管理海外公司及机构的财务专职人员。 International Finance (IF) of Linuo Group is responsible for the centralized financial management and supervision of OCs and OIs. IF in these regulations refers to the personnel who are commissioned by Linuo Group and responsible for the financial management of OCs and OIs. 3.3 集团人力资源本部为海外公司人员管理的归口部门，对其雇佣合同、个人档案进行备案和归档，对每月的薪金、保险、福利等统一管理审批。 Human Resources Department (HRD) of Linuo Group is responsible for the centralized management of all employees of OCs. It shall put on file employment contracts and personal files, and examine and approve the monthly salary, insurance and benefits of all employees of OCs. 3.4 集团法律事务本部为海外公司法律事务管理的归口部门，对其合同、业务的合法性进行审核。 Legal Affairs Department (LAD) of Linuo Group is responsible for the centralized management of legal affairs of OCs.
