2026年中英文保密及知识产权保护协议

本协议由以下双方（以下合称“双方”，单独称为“一方”）于____年____月____日（以下简称“生效日”）在____（签署地）自愿签署，旨在规范双方合作及业务往来过程中保密信息的管理与知识产权的归属、使用、保护等事宜，明确双方权利义务，防范相关法律风险，保障双方合法权益。本协议依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》《中华人民共和国著作权法》《中华人民共和国专利法》《中华人民共和国商标法》及其他相关法律法规订立，双方均应恪守履行。

ThisAgreementisvoluntarilysignedbythetwopartieshereto(hereinaftercollectivelyreferredtoastheParties,andeachindividuallyreferredtoasaParty)on____(EffectiveDate)at____(PlaceofSigning).Itaimstoregulatethemanagementofconfidentialinformationandtheownership,use,protectionandothermattersofintellectualpropertyrightsintheprocessofcooperationandbusinesstransactionsbetweenthetwoParties,clarifytherightsandobligationsofbothParties,preventrelevantlegalrisks,andsafeguardthelegitimaterightsandinterestsofbothParties.ThisAgreementisconcludedinaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theAnti-UnfairCompetitionLawofthePeoplesRepublicofChina,theCopyrightLawofthePeoplesRepublicofChina,thePatentLawofthePeoplesRepublicofChina,theTrademarkLawofthePeoplesRepublicofChinaandotherrelevantlawsandregulations,andbothPartiesshallstrictlyabidebyit.

鉴于：（1）甲方与乙方拟开展________________________（以下简称“合作事项”）或维持长期业务往来关系，为实现合作目标、履行业务职责，一方（以下简称“披露方”）需向另一方（以下简称“接收方”）披露其未公开的保密信息，并许可接收方在约定范围内使用其合法拥有的知识产权成果；（2）双方均确认，保密信息关乎自身核心商业利益，知识产权具有专有性和排他性，任何保密信息泄露或知识产权侵权行为均可能给相关方造成重大经济损失及不可逆的商业信誉损害；（3）为明确保密信息的界定标准、管理规范，知识产权的归属原则、使用权限及保护责任，以及双方违约后的责任承担方式，保障合作及业务往来的顺利推进，经双方友好协商，达成如下协议，以资共同信守。
