本2026年跨境中英文保密协议（以下简称“本协议”）由以下双方（以下统称“双方”）本着平等自愿、诚实信用、公平互利的原则，于____年____月____日（以下简称“生效日”）正式签署。其中，一方为依据中华人民共和国法律设立并有效存续的法律主体（以下简称“境内方”），另一方为依据其所在国家/地区法律设立并有效存续的法律主体（以下简称“境外方”）。鉴于双方拟开展跨境合作（包括但不限于跨境贸易、技术许可、服务协作、投资合作、项目开发等），在合作磋商、履行及后续相关事宜中，需相互披露、交换或获知对方具有保密性质的各类信息，且该等信息的传输、存储、处理、使用均涉及跨境场景，面临跨境监管合规及信息安全风险。为明确双方保密权利与义务，防范信息泄露、滥用及违规跨境传输等风险，保障双方合法权益（包括商业秘密、技术秘密、经营利益及商誉等），依据《中华人民共和国民法典》《中华人民共和国网络安全法》《中华人民共和国数据安全法》《中华人民共和国个人信息保护法》《联合国国际货物销售合同公约》及双方所在国家/地区关于保密、数据跨境传输、信息安全的相关法律法规，经双方友好协商，达成如下一致条款，以资共同信守执行。

This2026Cross-BorderConfidentialityAgreement(Chinese-EnglishVersion)(hereinafterreferredtoasthisAgreement)isformallysignedon____(hereinafterreferredtoastheEffectiveDate)bythefollowingtwoparties(hereinaftercollectivelyreferredtoastheParties)ontheprinciplesofequality,voluntariness,goodfaith,fairnessandmutualbenefit.OneofthePartiesisalegalentityestablishedandvalidlyexistinginaccordancewiththelawsofthePeoplesRepublicofChina(hereinafterreferredtoastheDomesticParty),andtheotherPartyisalegalentityestablishedandvalidlyexistinginaccordancewiththelawsofitscountry/regionofincorporation(hereinafterreferredtoastheOverseasParty).WhereasthePartiesintendtocarryoutcross-bordercooperation(includingbutnotlimitedtocross-bordertrade,technologylicensing,servicecollaboration,investmentcooperation,projectdevelopment,etc.),inthecourseofcooperationnegotiation,performanceandsubsequentrelatedmatters,itisnecessarytomutuallydisclose,exchangeorobtainvarioustypesofconfidentialinformationoftheotherParty,andthetransmission,storage,processinganduseofsuchinformationallinvolvecross-borderscenarios,facingrisksofcross-borderregulatorycomplianceandinformationsecurity.ForthepurposeofclarifyingtheconfidentialityrightsandobligationsofbothParties,preventingriskss
