中文摘要 电子认证机构在电子商务的发展过程中起着极其重要的作用。为了界定认证 机构在从事认证服务的过程中所承担的民事责任，本文运用比较分析、实证分析 和法经济学分析等方法，从多个角度对认证机构的违约责任和侵权责任进行了探 讨和研究，进而提出完善我国认证机构承担民事责任的相关建议。 全文共分为四个部分。第一部分主要分析认证机构承担民事责任的基础理 论，以此界定它们之间的法律关系和认证机构所应承担的第一性义务。第二部分 和第三部分是本文的重点，通过比较分析，确立了认证机构承担民事责任的归责 原则应当是无过错原则，在此基础上进一步探讨了其承担民事责任的范围、限制 和免责事由。第四部分则从宏观和微观两个方面入手，提出了我国认证机构承担 民事责任的立法建议。 关键词：认证机构 归责原则 违约责任 侵权责任 I Abstract Certification Authority plays an important role in the development of the electronic business. For purpose to identifying the civil liability of the Certification Authority in the courses which it performs their functions, the article mainly discussed and researched the civil liability for breach of contract and civil liability for infringement of rights through multiple aspects by means of comparative research, positive analysis and law-economic analysis. Furthermore, this article gives some suggestions on bearing civil liability of the Certification Authority. This thesis includes four parts. The first part mainly analyzed the foundation principles of Certification Authority when it bearing the civil liability. moreover, the law relationship between their and the first duties of Certification Authority are established by those theories. The second part and the third part are the mainly part of the thesis.
