Now our government is also trying to push MBS into practice in China. During this period，we have gained some achievements，but there are also many unsolved problems emerged in this field, which need to be studied seriously, for example the MBS legal system lack some risk control measures, and there are some legal conflictions in this legal system. The thesis tries to analyze theseproblems, andprovides someown ideas on howto perfect legal system on MBS in China by way of making an assay of advanced legislation experiences on abroad. The thesis proposes that we can perfect our legal system by way of making law on asset backed securitization. The thesis also suggests that we can perfect our concrete legal system on MBS through making law on SPV, enhancing information disclosure and internal control on financial risk on the base of abroad advanced legislative experiences and practical situation in China a
