摘 要 随着我国50 多家信托投资公司获得重新登记 信托业的第五次全国性清理整顿 进入了尾声 但我国的信托业如何才能步入健康发展的轨道呢 本文的研究目的在于分析我国信托业的经营模式以及产品创新 首先 本文介绍 我国信托业的历次清理整顿 分析信托业清理整顿的原因 并指出缺乏成熟的经营模 式是其中一个重要的原因 接着本文介绍我国信托业的现状 分析在 一法两规 颁 布和实施后 信托投资公司从事的新业务范围 信托业面临的机遇和挑战以及竞争环 境 进一步强调经营模式的重要性 然后采取比较的方法 分别通过对比分析国外发 达国家包括美国 英国 日本 德国的信托业发展历程以及目前实行的经营模式 对 比分析我国现有的四种主要经营模式 包括传统模式型 重大改制型 企业内属型 金融控股型 并结合我国的实际情况 指出其优缺点 进而借鉴国外的经验 提出本 文认为适合我国信托业发展的一种经营模式 金融控股型 重点分析其在我国的演 变过程以及各种优势 同时 也对目前我国信托业建立金融控股型经营模式存在的制 度障碍 风险及对策进行了研究 本文还运用图表的形式 简要地提出几种信托投资 公司发展成为金融控股公司的组织形式 在上述基础上 本文还重点对信托产品的创 新进行研究分析 对几类需求领域的产品创新进行分析 指出信托业广阔的业务发展 空间 最后 本文提出我国的信托投资公司应根据实际条件 建立适合自己的经营模 式 不断开发新产品 提供新服务 走上健康发展的道路 关键词 信托业 经营模式 产品创新 I Abstract With the re-registration of over 50 trust and investment companies in our country, the 5th liquidation and reform in China’s trust industry is coming to the end. But how can the trust industry develop stably and healthily? The thesis aims to analyze the management operating mode and trust product innovation in China’s trust industry. First, the thesis reviews the past five times of liquidation and reform in China’s trust industry and study the reasons, which points out that lack of Management Operating Mode was one of the important reasons. Secondly, the thesis describes current status of the trust industry under the “one law and two regulations” in China, the new business scope, opportunities and challenges, the comparative environments the trust and investment companies face, which emphasizes that the Management Operating Mode should be critical.
