摘要董事制度起源于英美法，随着两大法系之间公司制度的相互渗透，德国率先引进了董事制度。20世纪初，世界多数国家公司立法先后废除股东会中心主义而改采董事会中心主义，董事的权利日益增大，对董事法律制度的研究也日益显得更为必要。国外公司立法对董事的地位、董事的权利、义务及董事责任追究等方面的制度已有较为详尽的研究。我国市场经济体制还不甚完善，公司法律制度制订较晚，也较为粗略。大多数公司从原国营企业改制而来，董事及董事会也多由原国营企业管理人员担任，管理模式陈旧，对董事法律制度未予以足够的重视。本文首先探讨了公司与董事之间的法律关系，确立董事的法律地位。文章比较了英美法系和大陆法系关于公司与董事法律关系的各种学说和演变过程，认为我国公司、股东与董事之间的法律关系应是多层面的。其次,根据公司与董事之间的法律关系，阐述了董事之权利、义务。我国公司立法对董事的权利、义务规定太过于原则，缺乏可操作性，尤其是对董事的注意义务未予明确。本文重点探讨了董事应承担的注意义务和忠实义务,并对我国公司法中关于董事注意义务和忠实义务规范的缺失提出了具体的建议。再次，笔者依据传统民法理论分析了董事对公司应承担的民事责任。董事违反义务时，可承担违约责任和侵权责任。在某些情况下，还可发生两种责任的竞合。董事承担侵权责任，亦应具备传统侵权法理论上确定的四个构成要件。1关键词：公司法；董事；董事的权利和义务；民事责任2AbstractDirectorSystemoriginatedinCommonLaw.WiththeexchangebetweenCompanySystemoftwolegalsystem,DirectorSystemwasoriginallyintroducedinGermany.Inthebeginningofthe20thcentury,thecompanylegislationhasabolishedthecentralismofshareholdersmeetingandadoptedthatofboardofdirectors.Sothedirector’srighthasdevelopedgraduallyanditbecomesmoreandmoreimportanttoresearchtheDirectorLegalSystem.TheforeigncompanylegislationhasresearchedindetailonDirectorSystemwithregardtodirector’ssituation、right、obligationandliability.Inourcountry,themarket-orientedeconomyisnotperfectandCompanyLegalSystemwaslegislatedlateandgenerally.Mostofthecompaniestransferfromreformedstate-ownedenterprisesandmostofdirectorsincompaniesaremanagerswhohadworkedinstate-ownedenterprises.SothemanagemodeisoldandbehindincompaniesandwehasnotpaidmoreimportanceonDirectorSystem.Thisdissertationresearches,atfirst,thelegalrelationshipbetweencompanyanddirectorsanddefinesthedirector’ssituation.ItcomparesvarioustheoriesandevolutionsaboutthelegalrelationshipbetweencompanyanddirectorsinCommonLawSystemandCivilLawSystem,putsforwardthatshouldbemultiple-dimensionthelegalrelationshipamongcompany、shareholdersanddirectors.Thenthisdissertationdiscussesthedirector’srightandobligationinaccordancewiththelegalrelationshipbetweencompanyanddirectors.Inourcountrythecompanylegislationistoogeneralanddifficultto3beappliedregardingtodirector’srightandobligati
