ABSTRACT It has been validated that venture capital contributes to the development of one county’S technology and economy．Because the government aRaches importance to the venture capital，it has been developing rapidly in China．However,to a modem sense，Chinese venture capital has not become an industry due to the faultiness of 1aw as well as other reasons．Handling the methods of contrast，analysis and synthesis in the dissertation，the author studies systematically legal issues existing in the Chinese venture capital from every aspect on the basis of the intricate mechanism of the venture capital，and brings forward some normalization suggestions．There are six chapters in the dissertation： In the Chapter 1，Summarization on the Venture Capital，the author introduces the concept，characters and analyzes the urgency of perfecting the law about the venture capital． In the Chapter 2，Legal system of financing of the Venture Capital，the author introduces the approaches of attaining venture capital in China and other countries， and analyzes the legal handicaps offinancing venture capital and their solving． In the Chapter 3，Legal System of Organization of the Venture Capital，the author compares every organization of venture capital，introduces the practice in China，and analyzes the relevant legislation in China． In the Chapter 4，Legal System of High—tech and New-tech Enterprise，the author expounds the norm confirming the high—tech and new-tech enterprise，and brings forward some countermeasures for legal handicaps encountered by the high-tech and new．tech enterprise，and studies the necessity of establishing stock option in China． In the Chapter 5，Legal System of retreat of the Venture Capital，the author compares the merits and faults about every approach of retreating venture capital， analyzes Chinese relevant legislation，and studies the necessity of establishing the growth enterprises market． In the Chapter 6，Law and Regulation to Developing the Venture Capital，the author introduce
