I 股份有限公司股东知情权法律问题研究 ——以中小股东利益保护为视角 摘 要 股东知情权是股东的一项非常重要的权利，是由一系列权利组成，并且它在 股东权利体系中处于基础性的地位，决定了其他权利的行使。股东知情权在我国 法律当中虽然没有明确的规定，但是在现实经济生活当中股东的权益尤其是中小 股东的权益受损害的现象却非常严重。在现代社会中，公司是最重要的经济力量， 公司的经营管理被大股东所操控，中小股东作为公司当中的弱势群体，其地位决 定了不可能与大股东进行抗衡；而且大股东与中小股东由于其信息不对称，导致 中小股东的权利很难得到保障。因此保护好中小股东的合法权益才能实现公司更 好的运作，才能推动经济社会的进步。 本文通过研究股份有限公司股东知情权的相关概念以及国内外相关立法规 定和制度的研究，针对目前大股东与中小股东地位差别导致股东知情权受侵害的 诸多问题，提出了保护股东知情权的一些建议。笔者通过立法、司法、监督层面 以及股东自身角度这四个方面，提出了相应的对策来保护股份有限公司中小股东 的合法权益。 关键词 ：股东知情权 中小股东 查阅权 万方数据 II Study of shareholders’ information rights in Limited Liability Company ——in the view of the protection of small and medium shareholders Abstract Shareholders’ information rights is a very important rights. It lays a foundational position in shareholder’s rights. Information rights determines the performance of the others rights and it is composed of a series of rights. Although there is no explicit regulations in China legal’s system, but in real economic life, the loss and damage of shareholders’ rights, especially the rights of medium and small shareholders are very serious. In modern society, corporation is the most important economic strength, but the operating management is controlled by large shareholders while the medium and small shareholders cannot contend against as disadvantaged group in the company. And also because of the asymmetric information, the rights of medium and small shareholders is very difficult to be guaranteed. So, protect the rights of medium and small shareholders can realize the well operation of corporation and promote social progress. The article put forward some suggestions to protect shareholder’s information rights, aiming at the status difference, between large shareholders and s medium and small shareholders, which resulting the loss and damage of the shareholders’ rights, through studying of the related concept of shareholders’ information rights and the relevant legislation and institution in the
