技术创新公司治理关系The Study on Interaction between Technological Innovation and Corporate Governance CHENG Peng，AN Jing-wen，ZHANG Ding School of Management, China University of Mining and Technology Beijing, P.R.China, 100083 摘要：目前，技术创新已经成为经济发展的核心内容，是企业竞争力的直接来源。本文主要是通过分析技术创新与公司治理结构的相互作用和相互影响，指出了技术创新作为企业发展的核心和动力，要求企业必须通过完善和变革公司治理结构来更好的促进技术创新活动的发展，以提高企业的竞争力；而公司治理作为一种企业制度的框架，对于企业的技术创新活动起着决定性的作用。由于技术创新活动的未知性、高投入性、回报滞后性等方面的因素，企业必须建立决策有序，监督有效的公司治理结构。通过提高经营者的报酬，建立股票期权制，实行股东有效的监督和参与等激励与约束机制，以及完善产品市场、经理市场、公司控制权市场的竞争机智等公司治理的外部治理结构，从而有效地顺应技术创新活动的发展。 关键词：技术创新，公司治理，相互作用，改善 Abstract: Currently, the technological innovation has already become the core of the economic development, and also it has become the direct source of competitive power of enterprises. Through the analysis of the interaction and influence between the technological innovation and structure of corporate governance, this paper will point out that technological innovation, as the core and impetus of the development of enterprises, needs the cooperation to perfect and reform the management structure, in order to improve the development of the technological innovation, also to raise the competitive power; While the corporate governance, as a frame of the enterprise system, is decisive of technological innovation for enterprises. Because of the unpredictability, high devotion and belated return of technological innovation, enterprises must build up a structure of corporate governance with ordered decision-making and valid supervision, then they can adapt themselves to the activities of the technological innovation, with some encouraging and restricting measures, such as, to raise the guerdon of executives, to build up the stock option system, and to practice valid supervision and participation of shareholderes, etc; also with improving the outside structure of corporate governance, such as, to enhance the product market, to manage the market, and to operate the authority market of corporation, etc. Keywords: Technological
