Abstract :o be an agent of imputability as a form of independent elements of agency by estoppel double elements the-
ory ，it is based on the responsibility of appearance of rights in Germany ，there is a contradiction to the system as well as
difficult to identify defects． Art． 49 of China＇s Contract Law and the relevant judicial interpretation of the text of the said ar-
ticle ，agent of imputability is not included ，and in judicial practice it is not taken as a separate element of the constituent of
agency by estoppel． Ｒeferring to the theory of appearance of the French law ，the relationship between the agent and the ap-
pearance of the facts is built in the relative person reasonable reliance factor ，in order to form a new single element to
explain our current normative agency by estoppel ，in line with the legislative purpose and judicial status quo more．
