ABSTRACTPrivate Equity Fund is a new tool for direct investment and financing. It raises funds from institutional investor, corporation and individual without public offering, and it does equity investment on potential and fast-growing companies. Investors share revenue and risk in accordance with their contribution. Private equity fund provides new financing channels for enterprises, especially for small and medium-sized enterprises, helps enterprises add their values. It is conducive to broaden the channel of social investment, realize the efficient allocation of capital and complete the capital market.In China, the private equity fund is mainly regulated by the Company Law，theSecurities Act，the Trust Law，and the Partnership Law. These regulations establish a fundamental framework for the private equity fund, but still have many uninvolved fields. Regulation system on private equity fund is not yet complete. After more than 20 years’ development, Chinas private equity fund gets achievement and promotes market economy’s prosperity. However, the lack of relevant regulations hinders the development of private equity fund. Compared with major developed countries, Chinas private equity fund is still in the initial stage. Relevant regulations should be completed to create a good legal environment for the development of private equity fund.In order to regulate the operation of private equity fund, a good platform should be built. With abundant reading on domestic and foreign books, author takes developed countries’ experience as reference and put forward own suggestions on regulation completion from our nation’s condition.
