毕业论文 我国上市公司股权结构分析及问题研究 摘要 上市公司的股权结构治理问题一直是学术界关注的一个热点问题。资本结构不仅影响企业的财务风险和经营业绩等,更重要的是对企业的公司治理结构也有着重大的影响。公司的资本结构由股权结构和债权结构构成,因而股权结构是影响公司治理的重要机制,对公司绩效产生重要影响。本文分析了我国上市公司的股权结构特征、治理结构的特征及其对公司绩效的影响。股权结构在很大程度上影响公司控制权的配置及治理体系的运作方式, 并在某种情况下影响公司治理的效率。本文针对我国上市公司的股权结构及其优化进行了研究。首先分析了我国上市公司股权结构的形成过程和现状，并对我国上市公司股权结构中存在的主要问题进行了具体的分析和研究。然后对股权结构的英美模式进行了比较分析，最后提出了优化我国上市公司股权结构的建议。 关键词:上市公司 股权结构 多元化 股权优化 Abstract: The equity structure of listed companies’ governance issues has always been a hot issue of academic circles. Not only affect the financial risk of the enterprise capital structure and business performance, such as what is more important to enterprises corporate governance structure also have significant impact. The companys capital structure consists of equity structure and debt structure, and ownership structure is the important mechanism of corporate governance, an important impact on corporate performance. This paper analyzes the governance structure of listed company equity structure characteristics, features and its impact on corporate performance. Ownership structure to a large extent affect the corporate control of configuration and the governance mechanism of the works, and in some cases influence the efficiency of corporate governance. Based on the equity structure of listed companies in China and its optimization are studied. First has analyzed our country listed company equity structure of the forming process and the status quo, and the equity structure of listed companies in our country the main problems existing in has carried on the detailed analysis and research. Then the ownership structure of the Anglo-American mode and the German Japanese mode has carried on the comparative analysis, finally put forward Suggestions for optimizing equity structure of listed companies in China.
