Private equity investment funds in the case of the investment of Chinese enterprises reached more than 10% of all the same type of investment what the figures is $ 25,281,000,000. Although Chinas private equity market develops rapidly, but the total is still relatively small, the U.S. private equity investment fund share of the GDP to 3.5% which the number in our country is less than 0.45%, only one-seventh of the USA, in the other hand, it is also show Chinas private equity market prospects are very broad. Private equity can not only bring capital to SMEs, but also to enhance the management level of SMEs, improve visibility and influence on the market and to promote the stable development of enterprises, even help enterprises successfully listed. The positive role of private equity financing for the development of small and medium-sized enterprises have been proved by many scholars or some VIP in government. But as the private equity financing parties, many SMEs lack of the knowledge of the private equity financing and the theoretical guidance for the lack of actual operation. In the background of the SMEs financing difficulty, this study based on the characteristics of the private equity investment funds , analysis all the aspects of the combined of PE and SMEs, at last according by Mengniu case to confirm the win-win when combination of PE and SME .
