The transaction amount in mergermaket the first quarter in 2013 rised by 177%. So the tendency of overseas mergers and acquisitions has not been influenced by economic depression all over the world. Because of financial crisis and European debt crisis, the economy of developed countries, in which lots of enterprises are running out of cash, has been disrupted. At the same time, Chinese companies has gradually been experienced during these years.All these facters provide Chinese enterprises many chances to HYPERLINK /w/construct/ construct overseas mergers and acquisitions. The risk rises as the chance increases. For Chinese enterprise, overseas mergers and acquisitions are not only a way to develop quickly but also a risky activity of capital operation. Financial risk exists throughout the whole activity, and influences it a lot, so we should pay special attention to financial risk.The financial risks can be mainly divided into three types: assessment risks, funding risks, and payment risks, all of which happen in different stages of the process and influence each other. In2011, China National BlueStar (Group) Co. Ltd. bought Norwegian conglomerate Orklas silicon operations, polysilicon operations, and related contracts about electricity, etc. in the way of overseas mergers. With measures such as thorough investigation, accurate assessment, and scientific funding strategies, financial risks have been prevented effectively, thus providing practical measures for Chinese enterprises to
