Abstract Abstract The operation of enterprises is full of risks as well as opportunities. Legal risk ， existing all along the process of enterprise operating, in case of legal risk may cause a fatal blow to the overseas investment behavior, and shall deal a fatal blow to the company once it is encountered. As a result, growing emphasis has been placed on legal risk management prevention by increasing number of operators, managers and legal professionals, and efficient legal risk management systems are also urgently required by Chinese enterprises at present. Therefore, the thesis,is based on the stage of Yunnan overseas investment analysis, taking the good and experience from foreign enterprises and typical central enterprises, aims at setting up a set of legal risk control mechanism to gradually level up the overseas investment risk control ability of the enterprises by a comprehensive review of the related articles about foreign investment and risk management and a deep analysis on the current situation of the enterprises overseas investment and legal risk management. The first to third chapter is main issues on the legal risk management system for the enterprise is initially expounded at a static and macroscopic angle, and made a comparative research on risk control of overseas investment in enterprises at home and abroad. Through comparison and analysis on theory and practice of overseas investment in the United States, Germany and Japan. Summed up the experience for reference on the basis of compara
