公司解散清算的债权人保护制度研究-法律专业论文.docx

摘要 摘要 摘要 社会的进步和经济的发展，使公词成为我回经济生活中的重要主体。市场 经济是法治经济，公司作为市场经济主体，在参与市场竞争时要遵循准入规则， 间理，其退出市场也要遵循完备的规则。 2005 年《公司法》不仅是一部鼓励投 资兴业的法律， ，也是一部确保公司理性退出市场的法律。近年来，公司的设立 门槛越米越低，但公司的追出制度却存在严建问题:又由于我国理论界、司法 界、实务界对公司解散和终止关系认识的分歧，导致很多公司在出现解散事由 后，不及时进行清算，甚至借解散之机逃废债务，损害债权人的利益。本文拟 从分析公司解散、公司清算、债权人保护等基本问题入手，对公司解散清算阶 段的债权人保护展开一定的研究，以期通过建立一个健康、有序的公司退出制 度，保护公司债权人的合法权利。由于篇幅有限，本文所涉及的解散、清算均 为非破产状态下的情况。 关键词:公司解散 公司清算 债权人保护 Abstract Abstract Abstract Advancement of society and development of the economy，the important main body in making a company become our country economic life.
