- PAGE I - 本科毕业论文 （20 届） 论我国破产法对公司债权人权益的保护 所在学院 专业班级 法学 学生姓名 学号 指导教师 职称 完成日期 年 月 PAGE I 摘 要 【摘要】在近几年的金融风暴中，很多的公司都因此倒闭，递交了破产申请。此类公司规模有大有小，小的许许多多缘由也不少，大的也有其例，其中最有名的公司便是美国第四证券公司雷曼兄弟公司。我国改革开放，加入WTO与世界接轨，故而在这场风暴中我国的许多公司也受到了一定的影响，尤其是一些外贸公司以及中小型企业也因此倒闭！虽然说合法竞争优胜劣汰是市场经济的发展特性，但在这个过程并不是美好的，这些公司陷于困境，或有意或无意，债权人权益也得到有效的实现。因此，经过利益的平衡合理的考量，出现了一种可以解脱受困企业，又可以保障债权人合法权益的法律制度，这一制度就是破产制度。对于支付不能的公司怎样保护其债权人的合法债权这便是本文的问题所在，本文将先就“当然保护破产债权人权益”这一小问题进行总体说明，然后分别以“破产程序中的财产管理制度”、“破产债权人自治机制”以及“违法破产的法律责任”三方面来说明怎样具体保护债权人的合法债权。 【关键字】债权人权益保护 破产制度 财产管理制度 自治机制 【ABSTRACT】The financial turmoil in recent years, many companies are out of business, submitted for bankruptcy. Sizes from these companies, why are many of the numerous small, large, have their cases, one of the most famous company is the fourth U.S. securities firm Lehman Brothers. Chinas reform and opening up, WTO and the world, therefore in this storm of many companies in China have also been some impact, particularly in some foreign trade companies and small and medium enterprises out of business! Although the survival of the fittest is a legitimate competitive characteristics of the market economy, but not good in the process, these companies in difficulties, or intentionally or unintentionally, the interests of creditors are effectively achieved. Therefore, after consideration of a reasonable balance of interests, there has been a troubled company can be relieved, but also can protect the legitimate interests of creditors, the legal system, which is the bankruptcy system.
