第1页分红权是股东作为公司投资人的一项基本的权利，股东向公司投资的目 第1页 分红权是股东作为公司投资人的一项基本的权利，股东向公司投资的目 的就是为了通过公司的经营而获得利润。本文论及的是我国上市公司中小股 东分红权法律保护问题，中小股东是相对大股东而言在上市公司中处于弱势 地位的投资者。近些年来，媒体纷纷报道我国的一些上市公司存在着多年不 分红的现象，其中上市公司以关联交易、大股东滥用资本多数原则或以提取 任意公积金为借口等形式侵犯了中小股东分红权权益。本文针对这些现象从 股东分红权的基础性问题谈起，结合我国上市公司中小股东分红权受到侵犯 的实际情况，并参考国外或者其他地区的相关法律制度，分析了中小股东分 红权得不到全面保障的原因，同时针对存在的问题从公司法制度设计和公司 运作规则方面提出了建议，以期能解决在保障中小股东行使分红权过程中所 存在的问题，从而对我国公司法的相关规定的完善、证券市场的规范运作以 及中小股东的利益保障起到积极的作用。 关键词：中小股东股东大会制度投票制度股东派生诉讼制度 AbstractRight Abstract Right of shareholders as a dividend invested a fundamental right，the shareholders to the company’S investment objective is to acquired by the company’S operating profits．This article dealt with the right of dividends of listed company’S minority shareholders to legal protection issues，small shareholders are relatively large shareholders in listed companies in a weak position of investors．In recent years，media have reported that Some listed companies among them take the means of related party transactions，maj or shareholders abusing of the principle of capital most or assuming the form of allocating optional accumulation fund from the listed companies as an excuse to violate the right to dividend rights and interests of small shareholders．Accord to these phenomena，this article discussed the basic problems of dividend rights from the shareholders，combined with the actual situation of violations of the dividend rights of small shareholders in the listed companies in our country,and referenced to relevant the legal system in overseas or other parts，analyzed of the reasons of not guaranteed the right of minority shareholders’dividends，while put forward proposals for the system design from the company law and corporate operating rules according to some problems，In order to be able to solve the problem by the process of minority shareholders in the exercise of the right of dividends，and the writer hope these proposals can play a positive role for improving the relevant China’S Company Law and Stock Mar
