万方数据 万方数据 Studies on Listing Company Anti-takeover Regulations ABSTRACT There was hundreds years history from the establishment of Listing Corporations anti-takeover legal system. It is proved that the Anti-takeover of listing Corporation system plays a positive role in correcting market distortions, promote the development of the company, safeguard the fundamental interests of shareholders. According to their own situation, The United States, Britain, Japan, Germany and other countries and regions has formed its own the listing Corporations anti-takeover legal system. There are lots of acquisitions in China, but many acts are illegal and harmful. There is need for listing Corporation to take anti-takeover acts to fight back, also need for the legislature to form our own the listing Corporations anti-takeover legal system. However, it is still very backward in the field of practice and legislative construction in our country. For many basic problems, views of scholars are not uniform and there are not in-depth analyses in many of the concepts. Therefore, it is a thread of law spirit that winds through my research report. And my researches findings in line with Chinese interests are propounded after series of theories are elaborated while anti-takeover behavior, mode, and case are analyzed on home and overseas markets. That is to say, Interests of the company-oriented should be emphasized by china. The ideal pattern could be built by approach that disparate treatment is made between centralize and decentralize the share ownership structure through two-track system. Specific questions about anti-takeover are studied through methods of comparative analysis, historical analysis, empirical analysis method, comprehensive analysis method.
