哈尔滨商业大学硕士学位论文 摘 要 企业并购能够使并购方快速的获得对方的企业的技术、市场等诸多益处，受到了很 多企业的追捧，但是并购的同时也会给企业带来风险，尤其是那些最容易被忽略的潜在 风险。管理者沉浸在并购带来的眼前利益中，而风险的发生往往使得管理层措手不及， 从而给企业带来沉重的打击。天神娱乐公司就是一个典型的案例。连续并购让天神娱乐 从以前的一文不值，迅速成长成为了行业内的龙头企业。由于企业在并购过程中投入了 太多的精力，忽略了企业核心业务的发展，导致在企业发展的风生水起时潜在风险集中 式的爆发，致使企业巨额的亏损。 通过文献研究法查阅国内外相关研究文献，明确研究对象和需要解决的问题。在此 基础上，采用案例研究法以天神娱乐为例，从连续并购前后的财务风险，经营状况，商 誉状况，创新能力和高管层人员的稳定性这五个角度进行对比。经过对比分析法发现天 神娱乐在连续并购后财务风险增大；经营状况总体不佳，在选定的评价经营状况的指标 中除了总资产增长率上升了以外其余都朝着不好的方向发展；商誉占总资产的比重大； 创新能力下降；高管层的人员变动大。总体来说，天神娱乐连续并购后给企业带来了负 面的影响。由此，可以说明天神娱乐的连续并购并不成功。最后，通过天神娱乐公司的 案例分析给相关欲实施并购的企业提供一些警示，同时给相应的监管机构提供一些建议。 关键词：并购；连续并购；经济后果 I 哈尔滨商业大学硕士学位论文 Abstract Merger and acquisition (M A) can enable the acquirer to quickly acquire the other partys enterprises technology, market and other benefits, and is sought after by many enterprises. However, merger and acquisition (M A) also brings risks to enterprises, especially the most overlooked potential risks.
