Parties

ThisAgreementisenteredintoandmadeeffectiveasof[EffectiveDate],byandbetween:

[PartyBName],a[LegalStructure,e.g.,corporation,LLC]organizedandexistingunderthelawsof[State/Countryofincorporation],havingitsprincipalplaceofbusinessat[AddressofPartyB],(PartyB);

[AddadditionalPartiesifapplicable,followingthePartyA/PartyBformat]

HereinaftercollectivelyreferredtoasthePartiesandindividuallyasaParty.

CollaborationScope

1.ThePartiesherebyagreetocollaborateinthedevelopmentofavideogame(theGame),tentativelytitled[GameTitle]orsuchothertitleasmaybemutuallyagreeduponinwritingbythePartiesfromtimetotime.TheGameisintendedtobea[GameGenre,e.g.,action-adventure,role-playing]gameprimarilytargetingthe[TargetPlatform,e.g.,PCandmobiledevices]platform(s).

2.ThedevelopmentoftheGameshallencompass,butnotbelimitedto,thefollowingkeyareas:

a.Conceptualization,design,andplanningoftheGamescoremechanics,story,characters,andworld.

b.Creationofallvisualassets,including,butnotlimitedto,two-dimensionalandthree-dimensionalmodels,textures,userinterfaceelements,andanimations.

c.DevelopmentoftheGamescoreprogramming,includingtheimplementationofgameplaysystems,userinteraction,artificialintelligence,andintegrationwithchosengameenginesandsoftwaredevelopmentkits(SDKs).

d.CompositionandproductionofallmusicalscoresandsoundeffectsrequiredfortheGame.

e.LocalizationoftheGameinto[SpecifyLanguages,e.g.,English,Spanish,Chinese]asmutuallyagreedupon.

f.Implementationofnetworkfeatures,onlineservices,andmultiplayerfunctionali
