本2026年保密及知识产权保护协议（以下简称“本协议”）由以下双方（以下合称“双方”，单独称为“一方”）于____年____月____日（以下简称“生效日”）在____（签署地）依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》《中华人民共和国著作权法》《中华人民共和国专利法》《中华人民共和国商标法》等相关法律法规，本着平等自愿、公平诚信、权责统一、等价有偿的原则，经友好协商一致签署。本协议旨在规范双方在合作及业务往来过程中保密信息的管理及知识产权的归属、使用、保护等事宜，明确双方权利义务，防范保密信息泄露及知识产权侵权风险，保障双方合法权益，双方均应严格遵守本协议约定。

ThisConfidentialityandIntellectualPropertyProtectionAgreement2026(hereinafterreferredtoastheAgreement)issignedon____(EffectiveDate)at____(PlaceofSigning)bythetwopartieshereto(hereinaftercollectivelyreferredtoastheParties,andeachindividuallyreferredtoasaParty)inaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theAnti-UnfairCompetitionLawofthePeoplesRepublicofChina,theCopyrightLawofthePeoplesRepublicofChina,thePatentLawofthePeoplesRepublicofChina,theTrademarkLawofthePeoplesRepublicofChinaandotherrelevantlawsandregulations.Basedontheprinciplesofequality,voluntariness,fairness,goodfaith,unityofrightsandobligations,andequalvaluecompensation,thisAgreementisconcludedthroughfriendlynegotiation.ThepurposeofthisAgreementistoregulatethemanagementofconfidentialinformationandtheownership,use,protectionandothermattersofintellectualpropertyrightsintheprocessofcooperationanddailybusinesstransactionsbetweenthetwoParties,clarifytherightsandobligationsofbothParties,preventtherisksofdisclosureofconfidentialinformationandintellectualpropertyinfringement,andsafeguardthelegitimaterightsandinterestsofbothParties.BothPartiesshallstrictlycomplywiththeprovisionsofthisAgreement.
