鉴于甲乙双方就2026年度技术研发、技术转让、技术服务、合作生产等事宜开展合作（以下简称“本次技术合作”），甲方需向乙方披露、传递相关技术信息以保障合作推进，乙方为实现合作目的需接触、使用该等技术信息。为明确双方技术保密责任，防范技术信息泄露、滥用及侵权风险，保护双方核心技术权益及商业利益，依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》《中华人民共和国专利法》及相关国际技术保护规则，本着平等自愿、诚实信用、权责对等的原则，经双方友好协商一致，订立本协议，以资共同恪守。

WhereasPartyAandPartyBcarryoutcooperationinrespectoftechnicalresearchanddevelopment,technologytransfer,technicalservices,cooperativeproductionandothermattersin2026(hereinafterreferredtoastheCurrentTechnicalCooperation),PartyAneedstodiscloseandtransmitrelevanttechnicalinformationtoPartyBtoensuretheprogressofthecooperation,andPartyBneedstoaccessandusesuchtechnicalinformationforthepurposeofrealizingthecooperation.Toclarifythetechnicalconfidentialityresponsibilitiesofbothparties,preventtherisksofleakage,abuseandinfringementoftechnicalinformation,andprotectthecoretechnicalrightsandinterestsaswellascommercialinterestsofbothparties,thisAgreementisconcludedthroughfriendlynegotiationbetweenbothpartiesinaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theAnti-UnfairCompetitionLawofthePeoplesRepublicofChina,thePatentLawofthePeoplesRepublicofChinaandrelevantinternationaltechnicalprotectionrules,basedontheprinciplesofequality,voluntariness,goodfaithan
