Parties

ThisSupplyChainFinancialServiceAgreement(“Agreement”)isenteredintoonthis______dayof______,20__,byandbetween[NameofFinancier],acompanydulyorganizedandexistingunderthelawsof[JurisdictionofFinancier](“Financier”),and[NameofCross-borderE-commerceEnterprise],acompanydulyorganizedandexistingunderthelawsof[JurisdictionofE-commerceEnterprise](“E-commerceEnterprise”).

DefinitionsandInterpretations

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothem:

1.“Cross-borderE-commerce”referstotransactionsconductedthroughtheinternetthatcrossnationalborders,involvingtheexchangeofgoodsorservices.

2.“SupplyChainFinance”referstofinancialservicesprovidedbasedonthecreditofacoreenterpriseinasupplychain,aswellasthecontroloftheauthenticityandcomplianceoftransactionswithinthesupplychain,includingfinancing,settlement,guaranteeandotherservicesforsmallandmedium-sizedenterprisesinthesupplychain.

3.“Transaction”referstocontractsorordersarisingfromcross-bordertransactionsofcross-bordere-commerceenterprisesintheprocessofcross-borderprocurement,sales,logisticsandotherlinks.

4.“Goods”referstophysicalcommoditiesinvolvedincross-bordertransactions.

5.“CreditLimit”referstothemaximumamountoffundsthattheFinanciergrantstotheE-commerceEnterpriseforfinancing.

6.“Deposit”referstofundsorpropertyprovidedbytheE-commerceEnterprisetoguaranteetheperformanceoftheAgreement.

7.“Documents”referto证明文件relatedtocross-bordertransactions,suchasinvoices,billsoflading,customsdeclarations,etc.

8.“CoreEnterprise”referstotheenterpriseinthesupplychainwithstrongcreditanddominantstatus,whosetransactionsmayserveasthebasisforfinancing.

9.“Financier”referstothefinancialinstitutionprovidingthesupplychainfinancialservices,w
