外商在华直接投资引发的法律问题研究 摘 要 中国作为发展中国家，在世界经济全球一体化的浪潮中，不可回避地将国门打 开，吸收和利用外资以加快中国的经济建设。拥有较强区位优势的中国，已经成为 经济发展最为迅速的发展中国家。 本文通过从外商直接投资的理论入手，而后又分析了二十多年来我国外商投资 的资料，包括外商项目数、实际使用外资金额在内的外商在华直接投资各项指标的 统计数据，综合运用图表、举例等方式在纵向与横向对数据进行比较、总结，发现 我国在外商直接投资的相关法律问题方面存在许多问题，其中包括：地区性外资核 准制度问题、外资准入核准标准适用中的法律解释问题、适用中的行政自由裁量权 问题、外商利用在华投资逃税问题、外商形成的市场垄断问题。针对这些问题，我 提出了四个解决问题的途径：一是加强外商直接投资方面法律、法规建设；二是加 强对自由裁量权的控制；三是法律、法规中要体现出对外商投资的优惠；四是要遵 循公开、透明的原则，严肃执法，切实保障外商投资企业及投资者的合法权益。 关键词：外商直接投资，法律问题，对策 I 外商在华直接投资引发的法律问题研究 Abstract As a developing country, It is not evitable for China to open to the outside world, attracting and utilizing foreign capital to accelerate China’s economic construction in the wave of globalization of the world economy. With greater location advantages, China has become the most rapidly developing country in economic development. The author begins with the theory of investment , and then analyzes the data of the foreign projects, and the actual use of foreign capital over the past 20 years, On this basis, the author probe into the issues on the law of the foreign investment, include the following aspeits: a system problem of the local foreign capital, law explaination issues on the standard to foreign-captical entry, applying medium administration to cut a quantity power problem, market monopoly of foreign companies which invests an evasion of duty problem, Administrative discretion problems. Considering the problems in the law of the foreign investment. The author puts forward four suggestions.
