毕业论文 （20_ _届） 宁波企业海外投资的动因与对策研究 摘 要 伴随着跨国公司的迅速扩张，企业并购已经跨越国界，进而引发全球性的跨国并购浪潮，并对世界经济产生了不可估量的影响。迄今为止，世界范围内共出现过五次大的企业并购浪潮。特别是上世纪90年代掀起的第五次并购浪潮中，全球范围内的跨国并购已成为主角，世界跨国并购的总额和单项并购规模不断攀升。各大跨国公司越来越倾向于选择跨国并购的方式来实现自己的国际化战略。 由于世界经济一体化进程的加速，宁波市市一批企业出于外部竞争的压力以及内部自身发展的要求，也开始实施跨国经营战略，对外跨国并购已取得了不少实质性的进展。特别是近年来随着宁波经济的持续稳步增长，对外投资能力的增强，宁波企业的跨国并购案例不断增加，呈现出快速发展的势头，使得宁波企业跨国并购成绩在中国引领前茅。 跨国并购现象是企业并购现象和跨国投资现象的结合。就企业并购和跨国投资作为研究对象而言，都有较为系统的理论，以往关于跨国并购的研究也多集中于发达国家企业之间的并购，与我国企业相关的研究则多为外资对我国企业的并购，对中国某市的企业在跨国并购领域内进行系统、深入研究探讨的并不多，这与世界跨国并购发达国家企业唱主角，中国企业以前介入程度较低有关。本文将以中国企业的跨国并购为研究对象，以跨国并购的动因与效应理论为基础，分析中国企业实施跨国并购的动因及效应，并结合中国企业的发展现状和现实的国内外环境，对中国企业跨国并购的可行性进行探讨，最后给出相关的对策建议。 关键词：跨国并购；动因；策略 Abstract With the rapid expansion of multinational companies, business combination has borders and causing global cross-border mergers, and for the world economy produced immeasurable influence.
