基于隐性知识的跨国公司多元化战略的的研究.doc

摘  要  随着经济全球化的发展，一大批跨国公司活跃于世界的舞台。一方面，多元 化战略是跨国公司发展的一条有效途径，世界 500强中的 75%都实行了多元化发展； 另一方面，如何成功实现多元化，选择正确的多元化进入方式，进行技术转移一 直是困扰着跨国公司的难题。本论文以企业知识理论为指导，综合运用多元化战 略理论、国际技术转移理论的相关研究成果，研究了跨国公司多元化战略的选择 及进入方式等方面的相关问题。 本论文在对隐性知识的涵义及特征做出详细的分析的基础上，对隐性知识是 跨国公司成长的动因进行了深入剖析。接着，从隐性知识的基本性质入手，对跨 国公司实行多元化战略的内在动因进行了分析。由于动态规模经济、范围经济的 存在导致了公司存在过剩的能力；同时，隐性知识的不可占用性、不可转移性及 不可模仿性等特征又造成了的知识交易的市场失灵，这两方面的因素促使公司实 施多元化战略。然后，论文对跨国公司实施多元化的时机选择和类型选择问题进 行了重新认识。跨国公司应该在积累了大量隐性知识、培育了核心竞争力的基础 下实施相关多元化战略。 在多元化方向确定之后，本论文对跨国公司的多元化进入模式进行了比较深 入地探讨。跨国公司应根据待转移（吸收）的知识的隐性程度，酌情选择新建、 战略同盟或者外部并购等方式实施多元化。技术越不容易编码，越难传授，技术 越有可能转移到完全拥有的子公司；相反，技术的隐性程度越低，越有可能通过 市场进行转移。 本论文将隐性知识应用于跨国公司的多元化发展研究之中，探讨隐性知识对 跨国公司多元化发展方向、多元化成长模式的影响，是对传统的多元化战略理论 与跨国公司理论的尝试性延伸和扩展，对于指导跨国公司特别是我国跨国公司的 发展具有一定的理论意义与实践意义。 关键词：隐性知识；跨国公司；多元化战略；国际技术转移 I ABSTRACT With the development of economical globalization, large quantities of multinational enterprises are active on the world stage. On the one hand, the diversification strategy is an effective way to development of multinational enterprise, which was brought into effect about 3/4 among the top 500 enterprise in fortune; On the other hand, how to realize the diversification successfully, choose the correct diversification mode of entry, carry on the technology transfer continuously has puzzled the multinational enterprises. With the guidance of the basic view of knowledge, according to the study which results from diversification strategy theory and international technology transfer theory, the correlative issue on selecting and developing mode of diversification strategy was discussed in this thesis. The meaning of tacit knowledge and the elementary property of enterprise tacit knowledge were analyzed in detail at first, then, the inherent essence of multinational enterprise growth which comes from tacit knowledge was analyzed thoroughly. Why did multinational enterprises bring the diversification strategy into effect? From the perspective of tacit knowledge, the inherent kinetic elements were studied.
