摘 要 我国土地使用制度的改革是以充分实现土地的经济价值为指导，以市场经济为 背景，在具体制度上逐步经历了从土地所有权与使用权不分离向土地所有权和使用 权相分离，从土地无偿、无期限、非市场化向土地有偿、有期限以及市场化转换的 过程。其中，国有土地使用权出让是我国土地制度改革的核心，尽管我国土地使用 权出让已取得了显著的成果，但许多方面急需改进：（一）国有土地使用权挂牌出让 方式的完善；（二）国有土地使用权出让合同的准确定性；（三）国家提前收回国有 土地使用权的规范；（四）土地登记制度在国有土地使用权出让中作用的完善。为此， 可从取消限制竞买人资格的不当条件以及充分公布挂牌信息两方面来完善国有土地 使用权挂牌出让方式；其次，基于合同基本原理的考量，国有土地使用权出让合同 应是行政合同而非民事合同，由此，可采行政诉讼途径来维护国有土地使用权受让 人的合法权益；再次，国家在提前收回土地使用权时，应从实体到程序两方面合理 界定什么是公共利益，另外，可考虑在不退还出让金中定金部分、适当退还土地出 让金的前提下，国家可以收回闲置土地；最后，明确土地登记行为在国有土地使用 权出让中的地位与作用，将对国有土地使用权受让方的债权保护，通过土地登记行 为转化为对国有土地使用权受让方的物权保护。 关键词：国有土地使用权出让；挂牌；土地使用权合同；提前收回土地使用权； 土地登记 I Abstract Our country land use system reformation is being guided by the economic value realizing land sufficiently and taking market economy as background, on concrete system Our country land use system reformation have experienced from not parting of Land proprietary right and land-use right to parting ,from land gratuitous 、no a time limit and no market-oriented to land is compensable 、a time limit and market-oriented.
