中国企业跨国并购风险管理案例研究 摘 要 在世界经济一体化背景下，科技革命已成为现代经济增长的主要动力。自改革开放以来，我国在对外贸易、引进外资和国外先进技术等对外经济关系方面均有了较大的发展，对我国的经济建设起到了很大的促进作用。但随着我国改革开放的不断深入和市场经济的进一步发展，这些主要局限于流通领域的对外经济交往已不能适应或充分满足新形势下我国经济发展的实际需要。为了化解各方面的矛盾，要充分利用国际经济交往的有力条件和形式，来加速我国市场经济的有序发展。跨国并购作为对外直接投资的一种非常重要的方式，正好顺应了中国企业的这种困境，也成了很多企业获得外国技术和增加国际竞争力的一种有力手段。 本文阐述了跨国并购和风险管理的含义，分析了中国企业跨国并购风险的组成原因，并探讨了如何有效控制和管理风险，最后结合案例提出风险管理的对策和防范措施。 关键词：跨国并购；风险管理；风险防范  Transnational mergers and acquisitions of Chinese enterprises Risk Management Case Studies Abstract World economic integration in the context of the technological revolution has become the main driving force of modern economic growth. Since the reform and opening up of China in foreign trade, attract foreign investment and advanced technologies of foreign economic relations have a greater development of economic construction in China has played a very important role. But with the deepening of Chinas reform and opening up and the further development of market economy, these are mainly restricted circulation of foreign economic relations can not meet the new situation or fully meet the actual needs of Chinas economic development. In order to resolve various conflicts, to take full advantage of the powerful international economic conditions and forms of interaction, to accelerate the orderly development of market economy. Cross-border mergers and acquisitions of foreign direct investment as a very important way, just follow the Chinese companies this dilemma, many companies have become increased access to foreign technology and a powerful means of international competitiveness. This paper describes the meaning of the cross-border mergers and acquisitions and risk management, analysis of cross-border mergers and acquisitions of Chinese enterprises consisting reasons of risk, and discusses how to effectively control and manage risk, and finally propose a solution with case management and risk prevention measures.
