PAGE PAGE 2 摘 要 通过研究众多跨国银行损失甚至倒闭的案件发现，总分行之间联系日益疏远 是一个非常重要的影响因素。本文讨论的总分行制度下跨国银行德操作风险是指 由于跨国银行总行与海外分行之间在监管制度和人员管理等方面的失误或疏忽导 致管理失效从而造成损失的风险。文章详细分析了总分行制度下操作风险的成因 和五类风险因子，在此基础上借鉴 Delta-EVT 模型对操作风险进行了量化，最后 设计出管理框架。由于无法获得所需的统计数据，本文利用联合爱尔兰银行美国 分行案件进一步阐释了合理的监管制度的重要性。 本文第一部分为绪论。从选题意义起手，阐明了写作本文的理论意义和现实 意义，接着总结了国内外研究现状并进行了评述，然后说明了本文可能的创新之 处、难点和不足，并对文章的结构安排作了简要介绍。 第二部分为总分行制度下操作风险的成因分析。本文将研究视角限定在跨国 银行的总行和海外分行之间，首先介绍了跨国银行总分行制度的特点，然后详细 分析了总分行制度下各利益主体行为目标不一致导致操作风险的机理。 第三部分为总分行制度下基于 Delta-EVT 模型的操作风险度量。本文分析了 总分行制度下存在的五类风险因子，借鉴 Delta-EVT 模型对总分行制度下跨国银 行的操作风险进行了量化。但由于缺乏统计数据，最后以联合爱尔兰银行美国分 行的巨额损失案件进一步说明合理的监管制度的重要性。 第四部分是基于此类操作风险管理框架的设计。本章将第三章提出的五类风 险因子归为员工素质和人员组合以及及时处理问题的能力这两个方面，分别采取 利益协调、设置自动报警系统等方式进行管理。并且分析了风险事件发生后，跨 国银行应该如何进行风险缓释。 最后是对本文的结论以及展望，阐明了本文的主要结论以及今后在操作风险 管理中需要努力的方向。 关键词：操作风险；跨国银行；总行- 海外分行；度量；管理 ABSTRACT According to the analysis of the financial scandals of multinational banks, we find that one of the most important elements resulting to losses or bankruptcy is the less communication among bank and its branches under the system of “home bank-foreign branches”. The kind of operational risk focused in this paper is that the risk resulting from the management uselessness caused by the negligence or mistake among this system mentioned above. It analyzes the reason and then uses Delta-EVT model to build the risk measurement based on five risk factors and finally puts forward the management framework. The first section is the preface. It begins from the theoretical meaning and real meaning, and subsequently points out the main problems in the existing research during summarizing the main research in and outside, and then indicates the probable innovations and the main difficulties. The second section is the analysis upon the system of “home bank-foreign branches”. This paper confines itself in the relationship between the home bank and its foreign branches, regardless of any other organization styles. At first, this section expounds the characteristics of the system of “home b
