The second part focuses on the reasons why Alibaba list in the United States, objectively speaking, it will not be listed in HongKong, because the partner system does not comply with the Hongkong Stock Exchange , secondly, there are many defects in our stock market, this paper will introduce the structure of VIE and the Partner system ,finally,foreign institutions also promote the Alibaba to list in the United States. The third part will analyze some risks of Ali listed in the U.S., the first rist is the risk of Alibaba VIE mode include the legal and policy risk, business risk, the risk of moral, the second is the group litigation risk in the United States, this is a very important system in the United States, as long as it damages the interests of shareholders.
