II 万方数据 ABSTRACT With the rapid economic development, the company continues to expand business scope. By the company increasingly making close links with the community, corporate social responsibility becomes a hot issue of concern. Corporate governance as the companys decision-making activities a series of institutional arrangements are built around corporate responsibility and power. Therefore, all aspects of corporate governance play a vital role for companies to fulfill their social responsibility. This paper will start from relationships of the corporate social responsibility and corporate governance, and empirical studies the impact of corporate governance on corporate social responsibility performance about degree and direction. Finally the paper will proposed for listed companies in China to better fulfill their social responsibilities from the perspective of corporate governance. Firstly, this paper introduces corporate social responsibility and corporate governance theories, the situation of Chinas listed companies to fulfill their social responsibility and corporate governance, as well as studies reviewed at home and abroad for the relationship between corporate social responsibility and corporate governance. Secondly, on the basis of the study design, this paper empirically studies the relationship between corporate social responsibility and corporate governance with our 135 listed companies in the real estate industry at A-share market of Shanghai and Shenzhen Stock Exchange for six consecutive years 2007-2012 of 810 observations as sample .Then we can get the following conclusions: ①Company governance factors
