中文摘要本文的目的是通过对基金管理公司治理结构的核心问题～独立董事制度进 中文摘要 本文的目的是通过对基金管理公司治理结构的核心问题～独立董事制度进 行系统的研究，以期对我国基金管理公司的治理结构实践、监管部门的政策制定 提供理论支持和决策参考，从而更好地保护基金持有人等利益相关者的合法权 益。 本文采用的研究方法主要有规范研究与实证研究相结合的方法、点上研究与 面上研究相结合的方法以及横向比较研究与纵向比较研究相结合的方法。 本文主要有以下三点结论：首先，要完善独立董事的结构，包括完善独立董 事的数量与比例结构、年龄结构、学历与职称结构以及专业结构等：其次，要完 善独立董事的运行机制，包括完善独立董事的功能定位、任免机制、权利义务与 责任以及激励与约束机制等；最后，要完善独立董事的运行环境，包括完善独立 董事的内部运行环境和外部运行环境。 通过对国内外理论与实践的分析和评述，本文提出了我国基金管理公司独立 董事主要应代表基金持有人利益而非股东利益、基金管理公司督察员制度在适当 时机可以取消、独立董事制度和监事会制度可以实现功能互补、不应将独立董事 与公司绩效直接挂钩等诸多新的观点。 本文的不足之处是对国内基金管理公司进行实证分析时样本数据历史跨度 短，截面数据少，可能会影响分析结果的准确性。 关键词：独立董事制度，治理结构，基金管理公司，利益保护 In In order to protect the interest of securities investment fund holders and other interest stakeholders,and to promote the sound development of capital market in China,the thesis gives a systematic probe into the independent directors system．which is the COre ofgovernance structure ofsecurities investment fund management company． As for research methods,three combinations arc mainly used is the thesis：the combination of normal research and experimental research，the combination of core research and common research．and the combination of vertical comparison research and horizontal comparison research． on the basis of studying the theories and practices at home and abroad，the thesis put forward some measures SO as tO improve the independent directors system of securities investment fund management company in China．Firstly,the structure of independent directors system，which includes quantitative structure，proportional struotarc,age structure，academic structure，title strncture and professional structure should be improved．Secondlythe operational mechanism of independent directors system，which includes function mechanism，appointment and office removing mechanism．rights and liabilities mechanism，incentive mechanism，and restriction mechanism should be improved．And thirdly,the operational environment of independent directors system，which includes both internal environment and external environme
