美国对冲基金监管制度研究及借鉴 摘 要 近年来，对冲基金在我国崭露头角，随着我国金融市场的逐步开放，可以预见，对 冲基金将会迎来快速发展时期。与公募、私募基金相比，对冲基金在有着其自身特点之 外，还对全球资本运转和金融市场稳定有的重要影响。相对于对冲基金最大投资市场的 美国，无论是在监管体制和理念上都较为完善。笔者从美国对冲基金监管制度研究入手， 试图找到适合我国对冲基金发展的监管制度。 第一部分首先运用对比分析法，对对冲基金的概念进行了界定，使之更加的清晰。 另外，着重就对冲基金监管的理论进行了探讨，在分析学者相关文章和总结了对冲基金 监管的必要性理论后，笔者提出了是适度监管的观念，并确立了对冲基金监管的主要内 容。 第二部分在了解美国对冲基金发展的同时，就其监管制度进行了研究。包括了监管 机构的设置以及监管法律的沿革。同时就监管制度的豁免规定和反欺诈义务进行了分 析。最后，总结了其监管制度设置的一些基本理念。 第三部分重点探讨了美国《多德-弗兰克法案》出台的背景，介绍了相关制度的变 革。笔者通过对相关制度的改革进行评析，试图找到对冲基金监管的新趋势。 第四部分通过解读我国对冲基金发展的现状，并对我国现有的对冲基金相关制度进 行了分析，总结我国建立对冲基金监管制度的必要性和可行性。 第五部分首先是借鉴美国对冲基金监管制度的有益经验，在宏观上就我国机构就监 管的基本原则、监管机构、监管法律体系做了展望，对具体监管制度的建立提出了自己 的建议。 关键词： 对冲基金；监管制度；借鉴；立法建议 Research and Reference on the Legal Supervision System of American Hedge Fund Abstract In recent years,hedge funds has appeared in our country.With the development of financial markets,hedge funds will rise rapidly.Compared with public offering funds and private equity funds, Hedge funds have their own characteristics and an important effect on global capital operation and financial market stabilityacteristics. The United States as the largest investment market,has the perfect supervision system and idea. I will start from hedge funds regulatory system of the United States to find the hedge fund regulation system suitable for our country. The first part, I study the concept of hedge funds and summarizes the characteristics by using the method of comparative analysis. In addition, I focuses on hedge fund regulation theory and summed up the hedge fund appropriate supervision theory and the content of supervison. The second part of this pape is about American present situation and regulators and regulatory settings. Whats more, I introduce exemptions and anti-fraud obligations. The third part,I focus on the American Dodd - Frank act and analyze the reform of the relevant system to try to find the new trend of hedge fund regulation.
