山 山 汽 集 团 重 组 研 究 第 第 PAGE 4 页 摘 要 企业重组是指对企业原有、既存的各类资源要素，运用经济、行政、 法律手段，并按照市场规律实施的重新组合。随着社会主 义市场经济体 制的建立和国企改革的深入，企业重组日益成为企业获得规模经济、提 高企业竞争力、摆脱困境和迎接国际竞争的重要手段。我国的汽车工业 需要通过企业重组，来扩大产能，达到规模经济，应对国际竞争。山汽 集团在自我发展投入不足、后继乏力的情况下，也只有通过重组联合， 才能摆脱困境。多年来，山汽集团也进行过多次重组尝试，但都无果而 终，一直围绕着“要不要重组”而决心难下，错过了很多机会，企业没 有得到发展壮大。当前汽车业重组联合是一大趋势，多种资本对汽车领 域的介入更加快了重组的步伐，山汽集团只有顺应形势，抓紧时机实施 重组 ，才能最终走出困境。为帮助企业早做决断和为政府部门提供参考 意见，本论文从企业重组现实意义谈起，分析了中国汽车工业重组联合 的现实选择，回顾了山汽集团几次重组经历和发展缓慢的原因分析，得 出山汽集团在现阶段只有通过实施重组，才能摆脱困境的结论。并对山 汽集团重组过程中应坚持的几项原则作了理论分析和说明，对山汽集团 几个重组方案进行了比较分析，认为 华宇集团整合全省重型汽车生产资 源和优势、重组山汽集团的方案能为山汽未来发展带来广阔前景。文中 还 对政府在新时期企业重组中应发挥的作用也进行了论述和探讨，强调 政府部门要解放思想 ，为企业重组提供政策引导、政策规范和政策支持 。 Abstract Enterprise regrouping refers to the re-composition of all kind of the originally possessed, now-existing resources and factors of an enterprise, applying the economic, administrative and lawful methods. With the establishment of the socialistic market economy mechanism and the deepening reforms of state-owned enterprises, the enterprise regrouping has become a more and more important method for enterprises to obtain scale economy, improve enterprise competitive power, shake off predicament and to meet the international competitive challenges. Chinese automobile industry needs to carry out the regrouping to expend its production ability, reach scale economy and meet the international competitive challenges. Shanxi automobile industry group co.Ltd (SAIG) is in such a situation that the self-development input is insufficient and the future development is short of impetus. Under such circumstances, it could only overcome its difficulties through regrouping union. For many years, SAIG had tried many times of regrouping, however, all ended without a result. Because it is always troubled by “whether to regrouping” to make the final decision, thus, it misses many good chances to develop the enterprise. The automobile industry regrouping is a clear trend now, and the interfering of many kinds of capitals into the auto
